Agreement to Terms
These Terms of Service constitute a legally binding agreement made between the user, whether personally or on behalf of an entity (“you”), and Intuiticode (“Company,” “we,” “us,” or “our”), governing your access to and use of the Intuiticode website, platform, and any related digital services, features, content, tools, software, hosting services, AI solutions, and professional offerings (collectively, the “Site”).
By accessing, browsing, or using the Site, submitting inquiries, requesting proposals, engaging services, or entering into any form of collaboration with Intuiticode, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.
If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.
Supplemental terms, policies, service descriptions, proposals, statements of work, pricing details, or additional agreements that may be provided by Intuiticode from time to time are hereby expressly incorporated into these Terms by reference.
Intuiticode reserves the right, at its sole discretion, to update, modify, or replace any part of these Terms at any time. Changes will be effective upon posting on the Site, with the updated “Last updated” date indicated. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.
The Site and services are intended for business, professional, and commercial use. Users who access the Site from jurisdictions outside Intuiticode’s primary operating location do so at their own initiative and are responsible for compliance with applicable local laws.

Intellectual Property Rights
Unless otherwise stated, the Site and all materials made available by Intuiticode, including but not limited to:

• website design and structure
• user interface and user experience elements
• source code, software components, scripts, and configurations
• graphics, illustrations, icons, animations, images, videos, and audio
• written content, copy, documentation, and technical materials
• AI models, workflows, prompts, system logic, and frameworks
• proposals, presentations, prototypes, and service methodologies

(collectively, the “Content”) are owned by Intuiticode or licensed to Intuiticode and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.
All trademarks, service marks, logos, brand names, and visual identities displayed on the Site (the “Marks”) are the exclusive property of Intuiticode or its licensors. Nothing in these Terms or on the Site shall be construed as granting any license or right to use any Marks without prior written consent from Intuiticode.
Unauthorized use, reproduction, modification, distribution, or exploitation of any Content or Marks may result in termination of access, suspension of services, and legal action to the fullest extent permitted by law.

Limited License
Subject to your compliance with these Terms, Intuiticode grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site solely for:

• obtaining information about Intuiticode and its services
• communicating with Intuiticode
• requesting proposals or consultations
• engaging Intuiticode’s services in accordance with agreed terms

This license does not permit you to copy, modify, distribute, resell, sublicense, reverse-engineer, or exploit any part of the Site or Content for commercial or competitive purposes without prior written consent from Intuiticode.

Services and Deliverables
For services including but not limited to custom development, website and application development, AI solutions, hosting, digital marketing, prototyping, training, and technical support:

• All concepts, drafts, source code, configurations, designs, AI assets, and materials produced during the provision of services remain the intellectual property of Intuiticode until full payment has been received, unless otherwise agreed in writing.
• Upon receipt of full payment, the client is granted usage rights to the final deliverables strictly in accordance with the agreed scope of work, proposal, or service agreement.
• Any use beyond the agreed scope, including redistribution, resale, modification, or reuse for other projects, requires prior written approval from Intuiticode.

Intuiticode reserves the right to showcase non-confidential work, generalized outcomes, or anonymized results for portfolio, marketing, or educational purposes, unless explicitly restricted by a written agreement.

Refund / Cancellation Policy
Due to the nature of digital, technical, and professional services provided by Intuiticode, all payments are non-refundable, unless otherwise expressly stated in a written agreement.
Refunds will not be issued once any of the following has occurred:

• The service has commenced, including but not limited to discovery, planning, system setup, development, configuration, or deployment.
• Access to digital assets, hosting resources, AI systems, prototypes, or documentation has been granted.
• A consultation, workshop, or training session has been scheduled or delivered.

For hosting services, subscription fees are billed in advance and are non-refundable once the hosting environment, server resources, or service access has been activated.
Requests to cancel or reschedule consultations, workshops, or training sessions must be submitted at least 24 hours prior to the scheduled time. Approval is subject to availability. Failure to attend without prior notice may result in forfeiture of fees.
Any exceptions to this Refund / Cancellation Policy must be explicitly agreed upon in writing by Intuiticode.

Services & Consultations
Intuiticode provides services including, but not limited to:

• Custom development, website and application development
• Enterprise systems, e-commerce, and platform customization
• Hosting services (Shared, VPS, Dedicated)
• Digital marketing and analytics
• AI enablers such as chatbots, AI agents, and AI-driven solutions
• Prototyping, maintenance, licensing support, training, and workshops

Service details, scope, timelines, pricing, and deliverables are defined through proposals, quotations, statements of work, or written agreements.
Consultations and professional recommendations are provided based on information supplied by the client at the time of engagement. Intuiticode does not guarantee specific business outcomes, financial results, traffic growth, conversion rates, or system performance beyond what is explicitly stated in the agreed scope.
The client is responsible for providing accurate, complete, and timely information necessary for service delivery. Delays or issues caused by incomplete or inaccurate information may affect timelines and outcomes, and Intuiticode shall not be held liable for such impacts.

Restrictions
Unless expressly permitted by these Terms or a written agreement with Intuiticode, you agree not to:

• Copy, reproduce, modify, adapt, translate, or create derivative works from any part of the Site or Content;
• Reverse-engineer, decompile, or attempt to extract source code, system logic, or AI workflows;
• Use the Site or services for unlawful, unauthorized, or fraudulent purposes;
• Access or attempt to access systems, servers, or data without authorization;
• Interfere with or disrupt the integrity, security, or performance of the Site, hosting infrastructure, or services;
• Use automated tools, bots, scraping, or data-mining methods without prior written consent;
• Misrepresent your identity, affiliation, or authority when interacting with Intuiticode.

Violation of these restrictions may result in immediate suspension or termination of access and services, without notice, and may expose you to legal action.

User Representations
By accessing or using the Site or engaging Intuiticode’s services, you represent and warrant that:

• You have the legal capacity and authority to enter into these Terms on your own behalf or on behalf of an entity;
• You are not a minor under applicable laws;
• All information provided by you is accurate, current, and complete;
• You will use the Site and services only for lawful and legitimate purposes;
• You will comply with all applicable laws, regulations, and industry standards;
• You will not infringe upon the intellectual property, privacy, or legal rights of any third party through your use of the Site or services.

If Intuiticode determines that any representation is false, misleading, or incomplete, we reserve the right to suspend or terminate access to the Site and services, and to take appropriate legal action where necessary.

Term and Termination
These Terms of Service shall remain in full force and effect while you access or use the Site or engage any services provided by Intuiticode.
Without limiting any other provision of these Terms, Intuiticode reserves the right, in its sole discretion and without prior notice or liability, to suspend, restrict, or terminate your access to the Site or services if:

• You breach or violate any provision of these Terms;
• You engage in unlawful, unauthorized, or fraudulent activities;
• Your actions pose security, operational, or reputational risks to Intuiticode, its systems, or other users;
• Required payments are not made in accordance with agreed terms.

Intuiticode may also terminate or suspend services at any time due to operational, technical, legal, or business considerations. Where applicable, reasonable notice will be provided.
Upon termination:

• Your right to access and use the Site and services will immediately cease;
• Any outstanding fees or obligations remain payable;
• You are prohibited from attempting to access the Site or services under a different identity or through another entity.

Termination does not affect any rights or obligations accrued prior to the termination date.

Modifications & Interruptions
Intuiticode reserves the right to modify, update, suspend, or discontinue any part of the Site, services, features, content, pricing, or service offerings at any time, with or without prior notice.
We do not guarantee continuous availability of the Site or services and may experience interruptions due to:

• Scheduled or emergency maintenance;
• System upgrades or infrastructure changes;
• Network, hosting, or third-party service disruptions;
• Force majeure events or circumstances beyond our reasonable control.

Intuiticode shall not be liable for any loss, damage, or inconvenience arising from temporary unavailability, interruption, modification, or discontinuation of the Site or services.

Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or services provided by Intuiticode shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Indonesia.

Disclaimers & Limitations of Liability

Disclaimer
The Site and all services provided by Intuiticode are offered on an “as-is” and “as-available” basis.
While we strive to deliver reliable, secure, and high-quality solutions, Intuiticode makes no warranties or representations, express or implied, regarding:

• The accuracy, completeness, or reliability of any content or services;
• Uninterrupted or error-free operation of the Site, hosting environments, AI systems, or applications;
• Specific business outcomes, performance metrics, revenue growth, or commercial success.

To the fullest extent permitted by applicable law, all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy, are expressly disclaimed.

Limitation of Liability
To the maximum extent permitted by applicable law, Intuiticode, including its founders, directors, employees, partners, affiliates, and service providers, shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to:

• Use or inability to use the Site or services;
• Service interruptions, data loss, or system downtime;
• Third-party platforms, tools, integrations, or external services;
• AI-generated outputs, recommendations, or automated decisions;
• Security incidents beyond reasonable control, including cyber attacks or force majeure events.

In all cases, Intuiticode’s total aggregate liability for any claim arising from or related to the Site or services shall not exceed the total amount paid by you to Intuiticode for the specific service giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability. In such cases, liability shall be limited to the fullest extent permitted by applicable law.

Electronic Communications
Accessing the Site, submitting forms or inquiries, communicating via email, messaging platforms (including WhatsApp Business), ticketing systems, or entering into service engagements with Intuiticode constitute electronic communications.
By using the Site and engaging our services, you consent to receive communications from Intuiticode electronically. You agree that all agreements, notices, disclosures, approvals, confirmations, invoices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
You further consent to the use of electronic records, digital approvals, and electronic signatures in connection with proposals, quotations, service agreements, hosting activations, AI deployments, consultations, training sessions, and related documents. Such electronic actions shall have the same legal effect as physical documents and handwritten signatures, to the fullest extent permitted by applicable law.

Miscellaneous
These Terms of Service, together with the Privacy Policy and any additional policies, guidelines, proposals, or service-specific agreements referenced herein, constitute the entire agreement between you and Intuiticode regarding the use of the Site and services.
Any failure by Intuiticode to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.
Intuiticode may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without prior written consent from Intuiticode.
Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between you and Intuiticode.
These Terms shall be interpreted in a fair and reasonable manner and enforced to the fullest extent permitted by applicable law.
